Welcome to MobysTrade . These Terms and Conditions (“Terms”) govern your access to and use of the Moby’sTrade platform, including our website, mobile applications, services, tools, and any related features (collectively, the “Platform”). By accessing or using Moby’sTrade, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1. Definitions
- Buyer: A user who purchases products on the Platform for personal or business use.
- Retailer: A registered vendor who purchases products (primarily from wholesalers) and resells them on the Platform.
- Wholesaler: A registered vendor who lists products in bulk quantities with minimum purchase requirements.
- Vendor: Any Retailer or Wholesaler registered on the Platform.
- Mobys-Managed Inventory: Inventory stored, tracked, and fulfilled by Mobys on behalf of a Vendor.
- Self-Managed Inventory: Inventory managed and fulfilled directly by the Vendor.
2. Eligibility and Accounts
2.1 You must be at least 18 years old and legally capable of entering binding contracts to use Mobys Trade.
2.2 You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
2.3 Mobys reserves the right to approve, suspend, or terminate any account, including Vendor accounts, at its sole discretion.
2.4 You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
3. Vendor Registration and Approval
3.1 Vendor registration (Retailer or Wholesaler) is subject to review and approval by Mobys.
3.2 Mobys may request additional documentation, including business registration, tax identification, or licenses, before approval.
3.3 Approval as a Vendor does not guarantee sales, visibility, or revenue.
3.4 Mobys reserves the right to reject or revoke Vendor status at any time for violations of these Terms or applicable laws.
4. Wholesale and Retail Model
4.1 Wholesalers may list products in bulk quantities with defined unit pricing and minimum purchase requirements.
4.2 Retailers may view and purchase wholesale products only after registration and approval.
4.3 Retailers must complete and pay for wholesale purchases before reselling any product on the Platform.
4.4 Retailers may set their own resale prices, subject to Mobys pricing policies and applicable laws.
5. Inventory Management
5.1 Vendors may choose between self-managed inventory and Mobys-managed inventory where available.
5.2 For Mobys-managed inventory:
- Mobys will track stock levels, process orders, and handle fulfillment.
- Inventory levels displayed in Vendor dashboards are indicative and updated automatically.
5.3 For self-managed inventory:
- Vendors are solely responsible for stock accuracy, storage, fulfillment, and delivery.
5.4 Mobys is not responsible for losses resulting from inaccurate inventory data provided by Vendors.
6. Orders, Payments, and Payouts
6.1 All payments on the Platform must be made through Mobys-approved payment methods.
6.2 Retailers must pay wholesalers in full before resale is enabled.
6.3 Upon successful sale to a Buyer, funds are credited to the Vendor’s Mobys account, subject to applicable fees, commissions, and holding periods.
6.4 Mobys reserves the right to withhold payouts in cases of disputes, suspected fraud, or policy violations.
6.5 Currency handling, conversions, and settlement timelines are determined by Mobys and its payment partners.
7. Fees and Commissions
7.1 Mobys may charge platform fees, service fees, commissions, storage fees, or fulfillment fees as communicated to Vendors.
7.2 Fees may vary based on Vendor type, services used, or membership level (including premium services such as Mobys Prime).
7.3 Mobys reserves the right to modify its fee structure with reasonable notice.
8. Mobys Prime (Premium Services)
8.1 Mobys Prime is a premium membership offering enhanced access, tools, or exclusive wholesale opportunities.
8.2 Access to Mobys Prime is subject to eligibility criteria, subscription fees, and additional terms.
8.3 Mobys may modify, suspend, or discontinue Mobys Prime at its discretion.
9. Prohibited Conduct
You agree not to:
- Violate any applicable laws or regulations.
- List counterfeit, illegal, or prohibited products.
- Engage in fraud, misrepresentation, or deceptive practices.
- Circumvent payment systems or platform fees.
- Interfere with the security or operation of the Platform.
10. Intellectual Property
10.1 All content, trademarks, logos, and software on the Platform are the property of Mobys or its licensors.
10.2 You may not copy, modify, distribute, or exploit any part of the Platform without prior written consent.
11. Disclaimers
11.1 Mobys Trade is provided on an “as is” and “as available” basis.
11.2 Mobys does not guarantee uninterrupted access, error-free operation, or specific sales outcomes.
11.3 Mobys is not a party to contracts between Buyers and Vendors, except as a platform service provider.
12. Limitation of Liability
To the maximum extent permitted by law, Mobys shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of the Platform.
13. Indemnification
You agree to indemnify and hold harmless Mobys, its officers, directors, employees, and partners from any claims, losses, or damages arising from your use of the Platform or violation of these Terms.
14. Suspension and Termination
14.1 Mobys may suspend or terminate your account at any time for violations of these Terms or applicable laws.
14.2 Upon termination, outstanding obligations, fees, and liabilities shall remain enforceable.
15. Privacy
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction where Mobys operates.
Any disputes shall be resolved through negotiation, mediation, or arbitration before resorting to court proceedings, unless otherwise required by law.
17. Changes to These Terms
Mobys reserves the right to update or modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
